Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the online platforms, applications, software, and services provided by VEST FUNDORA PRIVATE LIMITED, including www.vest-fundora.com (“Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
1. Definitions
- “Company”, “We”, “Us”, “Our” refer to VEST FUNDORA PRIVATE LIMITED, a company incorporated under the laws of India and having its registered office at F-113, J M Nagar, Anand Nagar, P.D. Road, Vishnunagar, Thane, Maharashtra, India – 421202.
- “User”, “You”, “Your” refers to any person who accesses, browses, or uses the Platform.
- “Services” means all products, features, software, tools, and services offered through the Platform.
- “Content” means any text, images, videos, data, information, code, software, or materials uploaded, posted, submitted, or transmitted on the Platform.
2. Acceptance of Terms
By accessing the Platform, you confirm that you are at least 18 years old or using the Platform under parental guidance; acknowledge that these Terms constitute a binding contract; and agree to comply with all applicable Indian laws, including the IT Act 2000, Consumer Protection Act 2019, and DPDP Act 2023. If you do not accept any clause, please stop using the Platform.
3. Changes to Terms
We reserve the right to amend, update, or modify these Terms at any time. Updated Terms will be posted on the Platform, and continued use constitutes acceptance of such changes.
4. User Accounts
- You may need to create an account to access certain features.
- You must provide accurate and complete information.
- You are responsible for maintaining the confidentiality of your login credentials.
- Any activity occurring under your account will be deemed initiated by you.
- We may suspend or terminate your account for violations of these Terms.
5. User Obligations
Users agree not to: violate any applicable laws; attempt unauthorized access to servers, networks, or systems; use the Platform for fraud, impersonation, or misleading activities; upload viruses, malware, harmful scripts, bots, or spam; copy, modify, distribute, or reverse engineer any part of the Platform without written consent; or interfere with the Platform’s security or functionality.
6. Services and Use of Platform
All services are provided on an “as is” and “as available” basis. We reserve the right to add, modify, or remove features at any time. Any reliance on Platform content is at your sole risk.
7. Payment, Billing & Refunds
If the Platform involves paid services: all fees must be paid upfront unless stated otherwise; payments are non-refundable except where required by applicable law; prices may change with reasonable notice; taxes, payment gateway charges, and government fees (if applicable) are payable by the user.
8. Intellectual Property Rights
All matters relating to copyrights, trademarks, trade secrets, product formulations, digital assets, and other proprietary rights are governed by our separate IPR Policy. By using the Platform, you agree to comply with the IPR Policy, including restrictions on copying, reproducing, reverse engineering, or unauthorized use of our content, products, or technology.
9. User Content
Users are responsible for any content they upload or submit. By uploading content, you grant us a non-exclusive, royalty-free, worldwide license to use, display, store, and distribute such content for Platform-related operations. We may remove any content that violates these Terms or applicable law.
10. Third-Party Links & Services
The Platform may include links to third-party websites or integrations. We do not endorse or control such third-party services and are not responsible for their content, policies, or practices.
11. Privacy & Data Handling
Use of the Platform is subject to our Privacy Policy, which explains how data is collected, how data is processed, user rights, and data security. By using the Platform, you consent to the Privacy Policy.
12. Disclaimer of Warranties
To the fullest extent permitted by law, we do not guarantee uninterrupted or error-free operation; we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement; and we are not liable for data loss, system failures, unauthorized access, or technical issues.
13. Limitation of Liability
To the maximum extent permitted under Indian law, we shall not be liable for indirect, incidental, special, punitive, or consequential damages; our aggregate liability shall not exceed the total amount paid by you (if any) in the last 3 months; and we are not responsible for third-party actions, user actions, or force-majeure events.
14. Indemnification
You agree to indemnify and hold VEST FUNDORA PRIVATE LIMITED, its directors, employees, affiliates, and partners harmless against any claims, damages, losses, liabilities, or expenses resulting from your violation of these Terms, misuse of the Platform, infringement of third-party rights, or violation of law.
15. Termination
We may suspend or terminate your account if you violate these Terms, misuse the Platform, or where required by law or government order. Upon termination, your access rights cease immediately and we may retain data as required under law.
16. Governing Law & Dispute Resolution
These Terms are governed by Indian laws. Any disputes shall be subject to the exclusive jurisdiction of courts at Thane, Maharashtra, India. Parties shall first attempt mediation before initiating legal proceedings.
17. Miscellaneous
If any clause is held unenforceable, remaining clauses survive. Failure to enforce any right does not constitute a waiver. These Terms constitute the entire agreement between you and the Company.
18. AI-Generated Content Disclaimer
If the Platform or Services involve use of Artificial Intelligence (“AI”): AI-generated outputs may not always be accurate, complete, or reliable; the user must independently verify any AI-generated information before relying on it; and the Company shall not be liable for inaccuracies or errors in AI outputs, business or financial decisions made based on AI results, or any misuse of AI tools by users. Users agree not to use AI services for unlawful, discriminatory, or harmful purposes.
19. Service-Specific Conditions
19.1 Financial Information Services. Information shared on the Platform is for educational and informational purposes only. Nothing on the Platform constitutes guaranteed returns, investment solicitation, or financial assurance. Users must consult licensed professionals before making financial decisions.
19.2 IT / Software Development. Timelines depend on user inputs, approvals, and third-party dependencies. Bugs notified within the maintenance period will be resolved as per SLA terms. Source code ownership remains with the Company unless expressly transferred through a written contract.
19.3 AI Solutions. AI models may rely on third-party APIs; performance and uptime are subject to availability of such services. AI outputs are probabilistic; the Company does not guarantee accuracy or suitability for legal, financial, or medical use.
19.4 Platform Intermediary Services. The Platform is a technology-enabled networking and discovery platform intended to facilitate connections between investors, startups, founders, incubators, accelerators, mentors, and ecosystem participants. The Company only provides access to digital tools, profiles, communication features, listing services, informational resources, and related functionalities, unless expressly agreed otherwise in writing. The Company does not act as an investment advisor, broker or sub-broker, portfolio manager, merchant banker, guarantor, fiduciary, lender, or legal/tax/financial consultant unless specifically licensed and expressly stated in writing. Registration or presence of any user on the Platform shall not be construed as endorsement, recommendation, certification, approval, verification, or guarantee. The Company does not guarantee that any startup will receive funding, any investor will find suitable opportunities, any transaction will be completed, or that any valuation, traction, revenue, or business claim is accurate. All users are solely responsible for conducting their own independent due diligence, verification, background checks, legal review, tax assessment, commercial evaluation, and risk analysis before entering into any arrangement. Any negotiations, term sheets, NDAs, share subscriptions, SAFE notes, SHA agreements, debt arrangements, equity transactions, or other contracts entered into between users are solely between such parties. The Company may, at its sole discretion, request identity documents, business registration records, accreditation evidence, beneficial ownership details, tax information, or other compliance documents for verification, fraud prevention, regulatory compliance, or risk management. Failure to provide satisfactory information may result in suspension, restriction, rejection, or termination of access.
20. Non-Solicitation
During the term of engagement with the Company and for a reasonable period thereafter, the User shall not, directly or indirectly, solicit, hire, or attempt to hire any employee, contractor, or partner of the Company, or induce any client, partner, or vendor of the Company to terminate or reduce their relationship.
21. Non-Circumvention
Users shall not bypass the Company and directly approach Company employees, consultants, suppliers, developers, or partners for services offered by the Company, without written permission.
22. Force Majeure
The Company shall not be liable for delays or failure to perform obligations due to events beyond reasonable control, including natural disasters, government orders, pandemics, cyber attacks, failure of utilities or internet, or third-party service outages. During such events, delivery timelines automatically extend.
23. Beta Services
We may offer experimental or beta features. By using them, you acknowledge they may contain bugs, may be discontinued anytime, and are provided on a “best-effort” basis without warranties.
24. Support & Maintenance
Support shall be provided only during working hours unless stated otherwise. Support is limited to the scope defined in your subscription or agreement. Additional support, upgrades, or enhancements may incur separate charges.
25. Communication & Notices
All communications shall be sent via Email: contact@vest-fundora.com and Platform notifications. Legal notices must be sent to the Company’s registered office address above.
26. Assignment
The Company may assign or transfer its rights or obligations under these Terms without restriction. Users may not assign their account or rights without written consent.
27. Waiver
Failure to enforce any provision does not constitute a waiver of rights. Any waiver must be in writing and signed by the Company.
28. Grievance Officer (Mandatory — IT Rules 2021)
In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Company appoints a Grievance Officer. Email: contact@vest-fundora.com. Address: F-113, J M Nagar, Anand Nagar, P.D. Road, Vishnunagar, Thane, Maharashtra, India – 421202. Users may submit complaints regarding Platform content or violations of law.
29. Entire Agreement
These Terms, along with the Privacy Policy and other service-specific agreements, constitute the complete understanding between the User and the Company.
